SPECIFICITATI IN LEADERSHIPUL CONSILIILOR DE ADMINISTRATie| WORKSHOP

Membrii consiliilor de administratie intampina multe obstacole; de la a intelege pur si simplu care este rolul lor pana la a gasi timpul necesar pregatirii si participarii la sedintele de consiliu, acestia sunt pusi in situatia de lucra alaturi de un grup eterogen de indivizi, care adesea au interese diferite.

Workshop-urile pe care le organizam ofera solutii si sustinere administratorilor (executivi, neexecutivi, independenti samd), directorilor executivi (CEOs) si directorilor financiari (CFOs) care interactioneaza cu consilii de administratie si actionarilor sau stakeholderilor care numesc si supravegheaza activitatea administratorilor.

Puteti participa la seria noastra de workshop-uri personal sau prin video conferinta. In functie de subiect, iar workshop-urile pot dura de la o jumatate de zi (4 ore) pana la 2 zile.

Am creat aceste workshop-uri pentru a ajuta participantii:

- sa isi sporeasca abilitatile, cunostintele si mentalitatea necesare exercitarii rolului, responsabilitatilor si raspunderii administratorilor,

- sa dobandeasca competentele necesare pentru a fi un membru efectiv al consiliului de administratie si al comitetelor consultative organizate pe langa consiliul de administratie,

- sa invete cum sa isi seteze corect obiectivele si cum sa isi monitorizeze progresul pentru succesul consiliului de administratie,

- sa gestioneze situatiile conflictuale printr-o mai buna colaborare in sedintele de consiliu

 

 

WORKSHOP 1 – LEADERSHIPUL CONSILIILOR DE ADMINISTRATIE – CUM SA ASCULTI SI SA INFLUENTEZI CA DIRECTOR

 

a) Continut:

- cui ii apartine societatea? functionarea consiliilor de administratie; definirea rolurilor intr-un consiliu;

- eficacitatea unui consiliu – “cultura inghite strategia”; conectarea celor mai bune practici cu realitatile sedintelor de consiliu;

- cine sunt adevaratii lideri ai consiliului?

- conflictele in sedintele de consiliu – cauze, efecte, solutii;

- cine ii datoreaza ce cui? sarcinile si responsabilitatile administratorilor; analiza incalcarii obligatiilor administratorilor;

- cat de independent este, de fapt, un administrator independent?;

- protectia administratorilor de conflictul de interese; cum sa reactionezi la incalcarea obligatiei de confidentialitate;

- comunicarea consiliilor de administratie– “Speram ca va fi bine, dar ne pregatim pentru ce e mai rau”;

- societatile nu esueaza, consiliile o fac; cum se depasesc crizele de consiliu;

- secretul sedintelor de consiliu cu impact;

- cum se administreaza fluxul de informatii in si catre consiliu pentru a nu ineca administratorii in hartii;

- planificarea eficienta a succesiunii administratorilor in consiliu;

- este performanta consiliului sau este performanta CEO-ului?

- cum sa gestionezi fondatorii prea implicati in afacere, actionarii activisti si presiunea societatii civile, ca membru al consiliului de administratie;

- cum sa gestionezi tehnologia ca membru al al consiliului de administratie

 

b) Durata: 2 zile (oricare si fiecare subiect poate fi abordat separat intr-un workshop de o jumatate de zi (4 ore) sau combinat cu oricare ale subiect pentru un workshop de 1 zi);

 

c) Participanti:

- membri ai consiliilor de administratie, consiliilor de supraveghere, ai directoratului;

- persoane care aspira la pozitia de membru in consiliile de administratie;

- directori executivi (CEOs); directori financiari (CFOs) si orice alt director ce intra in contact cu consiliile de administratie;  

- secretari generali;

- actionari si stakeholders care numesc si/sau supravegheaza activitatea consiliilor de administratie

 

WORKSHOP 2 – TEAMBUILDING PENTRU CONSILIILE DE ADMINISTRATIE

a) Cand?

La teambuilding-ul anual sau cu ocazia:

-           integrarii unui nou CEO in relatia cu consiliul de administratie

-           integrarii unui nou administrator in consiliul de administratie si in relatia cu CEO-ul;

-           pregatirii pentru succesiunea administratorilor (incepand cu 2 ani inainte de momentul succesiunii)

b) De ce? 

- pentru a creste alinierea strategica a administratorilor cu viziunea actionarilor si cu planul pe termenul lung al proprietarilor afacerii;

- pentru a facilita comunicarea si intelegerea intre administratori si/sau intre administratori si directorii societatii;

- pentru a imbunatati competentele esentiale necesare administratorilor;

- pentru a oferi pregatire de baza/avansata cu privire la raspunderea, obligatiile, indatoririle administratorilor.

 

 c) Alte rezultate:

-           dezvoltarea unui plan anual de actiune, ca o componenta a Evaluarii Performantei Consiliului de Administratie;

-           elborarea unui Plan Personalizat de Dezvoltare pentru fiecare administrator;

 

d) Continut: personalizat, bazat pe continutul of Workshop-ului 1 – Leadership-ul consiliilor de administratie – cum sa asculti si sa influentezi ca director

e) Durata: 2 zile

 

WORKSHOP 3 – INTRODUCERE IN CONSILIILE DE ADMINISTRATIE

Workshop intensiv de 1 zi creat pentru cei numiti pentru prima data in functia de administrator si/sau pentru administratorii straini care sunt numiti pentru prima data in functia de administrator in Romania

Prima jumatate de zi este dedicata aspectelor teoretice, respectiv: introducere in rolul, sarcinile, responsabilitatile si obligatiile unui administrator; strategii de comunicare in consiliul de administratie.

A doua jumatate de zi este dedicata jocului de rol cu specialistii nostri si consta in: vizualizarea diferitelor situatii pe care un administrator dintr-un consiliu de administratie din Romania le poate intalni; simularea unei sedinte de consiliu.

LEADERSHIP OF THE  BOARDs OF ADMINISTRATION| WORKSHOP

Board members face many frustrations. From simply understanding what their role is to finding the time to prepare for and attend board meetings, they also find themselves working alongside a diverse group of individuals who often have different personal agendas.

Our Board of directors’ workshops provide solutions and support for directors (executive, non-executive, independent), for CEOs and CFOs engaging with a Board of directors and for shareholders and stakeholders appointing and supervising directors.

Our series of workshops are held in person or via video conference. Depending on the topic, workshops may last from half day (4 hours) to 2 days.

Our series of workshops are designed to help the participants:

- increase their knowledge, skills and mind set about the roles, responsibilities and liabilities of directors;

- gain the skills that they need to be an effective board member and participant to the Board committees;

- learn how to set the right goals and monitor progress for success of the Board of directors;

- be able to manage conflict through better collaboration in the Board room

 

WORKSHOP 1 – understanding THE BOARD functions and dynamics

a) Content:

- How Boards function; definition of the Board Roles; who owns the company?

- Boardroom effectiveness – “Culture eats Strategy”; connecting best practices with boardroom realities

- Who are the real boardroom leaders?

- Boardroom conflicts – causes, effect, solutions

- Directors’ duties and responsibilities – who owes whom? Analysis of breach of duties

- How independent an “independent” Board member really is?

- How to protect board members from conflicts of interests; how to react to breach of confidentiality;

- Board Communication – Hope for the best, plan for the worst;

- “Companies don’t fail, Boards do”; how to overcome the boardroom crisis;

- Secrets of power board meetings;

- How to manage the information flow without drowning the board;

- Effective succession planning;

- Is it a Board performance or a CEO performance?

- How to manage founders that can’t let go/ activist shareholders/social pressures as a Board member;

- How to handle technology as a Board member

 

b) Duration: 2 days (any topics may be chosen separately or combined for a half-day/1 day workshop; any topic may be individually expanded into a half day (4 hour) dedicated workshop)

c) Participants:

- Board of directors, Supervisory Board, Directorate members;

- Aspiring Board members;

- CEOs; CFOs and any middle management executive engaging with the Board;

- General Secretaries;

- Shareholders and Stakeholders appointing and/or supervising the Board members.

Participants  workshop target:

-The new presidents of the Boards

WORKSHOP 2 - BOARD OF DIRECTORS TEAMBUILDING

a) When?

At yearly teambuilding OR with the occasion of:

-           the integration of a new CEO with the Board of directors;

-           the integration of a new Board member with the rest of the Board of directors and managers;

-           the preparation of succession of directors (may be initiated 2 years before succession time)

b) Why? 

- to enhance strategic alignment of the directors with shareholder views and long term view of the business owners;

- to facilitate communication and understanding between directors and/or between directors and managers;

- to enhance core competences required from directors;

- to provide basic or advanced training on legal liabilities; corporate duties etc.;

  c) Other deliverables:

-           the development of an annual action plan as component of the Performance Evaluation of the Board;

-           the preparation of a Personal Development Plan for each Director.

d) Content: personalized, based on the contents of Workshop 1

e) Duration: 2 days

WORKSHOP 3 – BOARD INDUCTION

1-day intensive workshop designed for first time directors and/or foreign directors serving for the first time on a Romanian board of directors.

Half day – theoretical aspects: introduction to the role, duties, responsibilities and liabilities of a director; board communication strategies.

Half day – director role play with our specialists: visualisation of different situations that directors serving on a Romanian board may encounter; simulation of a board meeting.

Participants  workshop target:

-The new President or members of Boards
